TERMS AND CONDITIONS 
This (Agreement) consists of these Terms and Conditions and the provisions of each Order executed by Registered User and HP Auto Fund LLC (HPAF) each a (Party). Registration in the system and each submittal of a Lead or Order in the HPAF website based system is deemed confirmation and acceptance of these Terms and Conditions by the Registered User.

1.	Purchase and Sale; Limited Use.  
(a)	During the Term, Registered User will enter prospective automobile purchaser information (Lead) in the HPAF website system (Order). HPAF will utilize and sell to affiliated partners (Buyer), the data which accumulates in HPAF’s systems.  
(b)	Registered User may not resell any Lead.  Registered User will not disclose to any third party the content of any Lead.
(c)	HPAF shall have the right to identify Registered User as the provider of any Lead to the subject of that Lead if a Buyer questions the status of the Lead.  
(d)	Valid Leads are prospective automobile purchasers who have expressed interest in purchasing an automobile during the past fourteen days with or without expressing interest in also obtaining financing and the Registered User has verified that they have not yet purchased an automobile.
(e)	A valid Lead includes, at a minimum, the prospect name, address, phone, email address, and type(s) of vehicles desired.

2.	Term.  The Term of this Agreement begins on the date of initial registration by the Registered User in the HPAF website and ends upon the termination of this Agreement by either Party.  A Party may terminate this Agreement by giving the other Party five business days prior written notice.  Termination shall be effective upon the expiration of the five business days notice. 

3.	Payment.   HPAF shall invoice Buyer for each Lead sold. Within two weeks of the sale of each Lead, HPAF shall post to Registered User account, an accounting of the amount HPAF has determined to be paid to Registered User for the entry of the Valid Lead in the HPAF website. HPAF shall pay monthly to Registered User, the amount accumulated in the Registered User account during the previous month. In the event the amount which has accumulated is less than one hundred dollars, no payment shall be sent and the balance shall pass forward to the next month for future payment to Registered User. Buyer has 10 days from the time of purchase to return invalid leads and Registered User shall not be entitled to any compensation for the Lead.  

4.	Use of Leads and Conduct of Business.  Each Party will conduct all business, acts, and operations in compliance with all applicable federal, state and local laws, regulations and ordinances, and other rules of law that apply to the Partys generation, holding, transmission, purchase, sale, transfer, or use of Leads and any and all information contained therein. Such laws may include, but are not limited to (to the extent such laws apply to a particular Party), the Gramm-Leach Bliley Act, the Fair Credit Reporting Act, the Federal Trade Commission Act, the CAN-SPAM Act, the Telephone Consumer Protection Act, the Telemarketing and Consumer Fraud and Abuse Prevention Act, the Fair Debt Collection Practices Act, the Federal Communications Act, all rules and regulations promulgated under the foregoing, including, but not limited to, the FTC’s Telemarketing Sales Rule, and all applicable state law, including, but not limited to, the California Information Practices Act of 1977 (Cal. Civ. Code §§ 1798-1798.78) and all statutes relating to the protection of confidential personal information, and all rules and regulations promulgated under the foregoing.

5.	Warranty; Disclaimer.
(a)	Registered User warrants that Registered User will procure and provide each Lead under this Agreement in good faith and that, to the knowledge of HPAF without further investigation or diligence, each Lead is accurate and genuine and that Registered User is the owner of the Lead and Lead data and is authorized to transfer the data to HPAF.

6.	Indemnification.  Each Party will indemnify, defend, and hold harmless the other party and its equity holders, directors, officers, employees, agents, (including any applicable referral sources) and licensees from all claims, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or resulting from any third-party claim, action, or other proceeding that is based upon or alleges:
(a)	The Partys conduct of its business outside the scope of this Agreement;
(b)	The Partys gross negligence or willful misconduct; 
(c)	One or more facts that, if true, would be a default by the Party under, or a breach by the Party of, this Agreement;
(d)	The violation by the Party of any statute, regulation, ordinance, or other rule of law; or
(e)	The infringement, violation, or misappropriation by the Party of any intellectual property, contract, or other right of any third party.  

7.	Limitation of Liability.  Under no circumstances will the liability of HPAF for any cause of action or claim under this Agreement exceed the amount actually paid to Registered User for the Lead(s) in connection with which liability is asserted (if any).  Additionally, and without prejudice to the above limitation, UNDER NO CIRCUMSTANCES WILL EITHER PARTY BE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, PUNITIVE, SPECIAL, OR INDIRECT DAMAGES, EVEN IF THE PARTY IS AWARE OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF THIS OR ANY OTHER LIMITATION OF LIABILITY CAUSES ANY REMEDY TO FAIL OF ITS ESSENTIAL PURPOSE.

8.	Miscellaneous.  
(a)	Registered User may not assign any right or obligation under this Agreement. Registered User may not share access to the HPAF website. 
(b)	The parties have agreed that all disputes between the parties shall be resolved in the Circuit Court for the City of Virginia Beach, VA and that the non-prevailing party in any such proceeding shall be responsible for the reasonable legal fees incurred by the prevailing party.
(c)	The waiver of, or failure of either Party to exercise, any right in any respect provided for herein shall not be deemed a waiver of any further right under this Agreement.
(d)	If any provision of this Agreement is invalid under any applicable rule of law, it is to that extent to be deemed omitted, and the balance of the Agreement shall remain enforceable.
(e)	No Party will be liable for a failure to perform under this Agreement (other than a failure by HPAF to perform its payment obligations) to the extent that, and for so long as, the failure is caused by circumstances beyond the control of the Party, not reasonable foreseeable by the Party, and not caused by a Partys negligence or misconduct.
(f)	Unless and to the extent specifically stated otherwise in this Agreement, no remedy stated in this Agreement is exclusive and the Parties and all intended third party beneficiaries (which shall include any applicable referral sources) shall have available to them all remedies at law or in tort.
(g)	No rule of law that requires that any ambiguity or other element of an agreement be construed against the drafting party will have any effect on the construction of this Agreement.
(h)	The provisions of Sections 1(b), 2,3, 4, 5(b),6, 7 and 8 will survive indefinitely the termination of this Agreement for any reason.
(i)	This Agreement constitutes the entire agreement between the Parties with respect to the subject matter of this Agreement and it supersedes any prior or contemporaneous agreements (whether written or unwritten) between the Parties with respect to such subject matter.  There are no representations, understandings or agreements about the subject matter of this Agreement that are not fully expressed in this Agreement.

9. Notice.
(a) Notice to the Registered User shall be deemed delivered if sent to the Registered User email address or physical address.
